Our company adopts a "candidate nomination system" for the selection of board members. After approval by the Board of Directors, candidates are submitted to the shareholders’meeting for election. The composition of our Board of Directors is determined with consideration for diversity, and appropriate diversity policies are formulated based on the company's operations, business model, and development needs. These policies should include, but are not limited to, the following two major criteria: board diversity and independence.

1.Basic Qualifications and Values: Gender, age, etc.

2.Professional Knowledge and Skills: Professional background (such as law, accounting, industry, finance, marketing, and technology), professional skills, and industry experience.

Board members should generally possess the knowledge, skills, and character necessary to perform their duties. To achieve the ideal goal of corporate governance, the Board as a whole should possess the following competencies:

Board Diversity:

Our company advocates and respects board diversity policies to strengthen corporate governance and promote the sound development of the board’s composition and structure. We believe that diversity policies help enhance the overall performance of the company.

The selection of our board members is based on merit, ensuring a diverse and complementary range of abilities across industries. This includes basic qualifications and values (such as gender and age), as well as professional knowledge and skills: professional backgrounds (such as law, accounting, industry, finance, marketing, or technology), professional skills, and industry experience.

Our Board of Directors is composed of five directors and two supervisors. The board members emphasize elements of diversity and possess the knowledge, skills, and varied professional backgrounds required for their roles. Their extensive academic backgrounds, personal insight, and business judgment are highly valued by the company.

Board Independence:

Our Board of Directors consists of five directors and two supervisors. There are no spousal or second-degree kinship relationships between any of the directors and supervisors. Therefore, there are no situations where more than half of the seats on the board or among the supervisors are held by individuals with spousal or second-degree kinship relationships, and there are no violations of Article 26-3, Paragraphs 3 and 4 of the Securities and Exchange Act.

After the company's shares are publicly issued, an Audit Committee composed entirely of independent directors will be established in accordance with the Articles of Incorporation to replace the role of supervisors.
